1. Agreement to Terms

Welcome to Prime Fixel. These Terms and Conditions ("Terms") govern your use of our website located at https://primefixel.com and the services we provide. By accessing our website or using our services, you agree to be bound by these Terms.

If you do not agree with any part of these Terms, you must not use our website or services.

2. Services

Prime Fixel provides the following services:

  • Digital Marketing Services: SEO, PPC advertising, social media marketing, content marketing, email marketing, website design and development
  • IT Support Services: 24/7 help desk support, network security, cloud solutions, data backup and recovery, cybersecurity, server management, IT consulting

3. Service Agreements

3.1 Contracts

When you engage our services, you will enter into a separate service agreement that specifies:

  • Scope of work
  • Deliverables and timelines
  • Pricing and payment terms
  • Service level agreements (SLAs)
  • Termination clauses

3.2 Service Packages

Our service packages (Starter, Professional, Enterprise) include specific features as detailed on our pricing page. Features and pricing may vary based on customization and client requirements.

4. Payment Terms

4.1 Pricing

All prices are listed in Indian Rupees (INR) and are exclusive of applicable taxes unless stated otherwise.

4.2 Payment Methods

We accept the following payment methods:

  • UPI (Google Pay, PhonePe, Paytm)
  • Net Banking
  • Credit/Debit Cards
  • NEFT/RTGS
  • Cheque/Demand Draft

4.3 Payment Schedule

  • Monthly services: Payment due on the 1st of each month
  • Annual services: Payment due upfront or as agreed in the contract
  • Project-based work: Payment schedule as per project agreement (typically 50% advance, 50% on completion)

4.4 Late Payments

Late payments may result in:

  • Service suspension after 7 days of non-payment
  • Late fee of 2% per month on outstanding amount
  • Termination of services after 30 days of non-payment

5. Refund Policy

5.1 30-Day Money-Back Guarantee

We offer a 30-day satisfaction guarantee for new clients. If you are not satisfied with our services within the first 30 days, you may request a full refund.

5.2 Refund Conditions

Refunds are subject to the following conditions:

  • Request must be made within 30 days of service commencement
  • Valid reason for dissatisfaction must be provided
  • Refund does not apply to third-party costs (ad spend, domain registration, etc.)
  • Setup fees for IT infrastructure are non-refundable

5.3 Processing Time

Approved refunds will be processed within 7-10 business days.

6. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information
  • Respond to our requests for information in a timely manner
  • Provide necessary access to systems, accounts, and resources
  • Make timely payments as per the agreement
  • Review and approve deliverables within agreed timeframes
  • Comply with applicable laws and regulations

7. Our Responsibilities

Prime Fixel agrees to:

  • Provide services in a professional and timely manner
  • Maintain confidentiality of client information
  • Meet service level agreements (SLAs)
  • Provide regular reports and updates
  • Respond to support requests within agreed timeframes

8. Intellectual Property

8.1 Client Ownership

Upon full payment, clients own:

  • Custom website designs and code
  • Content created specifically for the client
  • Campaign materials and creative assets

8.2 Prime Fixel Ownership

We retain ownership of:

  • Proprietary tools and processes
  • Templates and frameworks
  • General methodologies and strategies

8.3 Portfolio Rights

Unless explicitly restricted, we reserve the right to showcase your project in our portfolio and marketing materials.

9. Confidentiality

Both parties agree to:

  • Keep confidential information private
  • Not disclose confidential information to third parties
  • Use confidential information only for the purpose of the service agreement
  • Return or destroy confidential information upon request

10. Service Limitations

10.1 No Guaranteed Results

While we strive for excellence, we cannot guarantee:

  • Specific search engine rankings
  • Exact traffic or conversion numbers
  • Social media follower counts
  • Viral content performance

10.2 Third-Party Dependencies

Some services depend on third-party platforms (Google, Facebook, hosting providers). We are not responsible for changes, outages, or limitations imposed by these platforms.

10.3 IT Support Limitations

Our IT support services are subject to:

  • Response times as per the chosen support package
  • Technical feasibility and compatibility
  • Availability of parts and resources

11. Termination

11.1 Termination by Client

Clients may terminate services with:

  • 30 days written notice for monthly services
  • Payment for services rendered up to termination date
  • No refund for unused portions of prepaid services (except within 30-day guarantee period)

11.2 Termination by Prime Fixel

We may terminate services immediately if:

  • Client breaches terms of agreement
  • Payment is not received within 30 days
  • Client engages in illegal activities
  • Client abuses staff or provides false information

12. Limitation of Liability

To the maximum extent permitted by law:

  • Prime Fixel shall not be liable for indirect, incidental, or consequential damages
  • Our total liability shall not exceed the fees paid by the client in the preceding 12 months
  • We are not responsible for third-party platform changes, algorithm updates, or force majeure events

13. Indemnification

Client agrees to indemnify and hold Prime Fixel harmless from claims arising from:

  • Client's breach of these Terms
  • Client's violation of any law or third-party rights
  • Content provided by the client
  • Use of our services in an unauthorized manner

14. Dispute Resolution

14.1 Negotiation

Parties agree to first attempt to resolve disputes through good-faith negotiation.

14.2 Mediation

If negotiation fails, parties agree to attempt mediation before pursuing legal action.

14.3 Jurisdiction

These Terms shall be governed by the laws of India. Any legal action shall be brought in the courts of Pune, Maharashtra.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Continued use of our services after changes constitutes acceptance of the new Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and Prime Fixel.
